Annexure A – Detailed Terms & Conditions
1. Payment Terms
Full payment is required in advance prior to initiation of services, as specified on the invoice.
2. Scope of Services
Services shall be provided as per the mutually agreed scope. Any additional services or requirements beyond the agreed scope shall be undertaken upon prior approval and may be charged separately.
3. Client Responsibilities & Approval
The client shall provide accurate, complete and lawful information, content, materials and approvals required for execution and shall be responsible for their accuracy, legality and ownership, including factual claims, credentials and other representations.
4. Content Approval & Finalization
Articles, profiles, creatives and other materials shall be considered final upon client approval. Once approved, further edits, modifications, removal or deletion requests shall not be applicable. Any changes requested from third-party platforms shall remain subject to their respective policies and discretion.
5. Refund & Cancellation
If the company is unable to deliver the agreed services due to its own fault, the applicable amount shall be fully refunded. Once services have commenced, no refund shall apply in case of client cancellation. For organic media or news publication services not completed due to editorial decisions, platform policies or circumstances beyond the company’s control, the amount paid shall be adjusted against an alternative eligible publication or future service. No monetary refund shall apply unless expressly agreed otherwise in writing.
6. Media & Third-Party Platforms
Media coverage, publication, editorial decisions, timelines, placement and continued availability are subject to the policies and discretion of respective publishers and platforms. Organic media coverage is subject to editorial acceptance and is not guaranteed unless expressly stated in writing.
7. Article, Indexing, Ranking & Link Disclaimer
Publication of an article does not guarantee search engine indexing, ranking, search visibility, traffic or discovery. The company shall not be responsible for indexing, ranking, de-indexing or search performance. Any disclaimer, disclosure, attribution, sponsored/advertorial label or notice associated with an article is determined by the respective publisher or website owner. Backlinks and link attributes, including dofollow, nofollow or sponsored, are likewise determined by the publisher, website owner or platform and cannot be guaranteed. Where applicable, a three-month link availability assurance shall apply from publication, subject to the publisher retaining the content.
8. Digital, Profile & Platform Services
SEO, AEO, GEO, social media management, Google Knowledge Panels, biographical profiles, Wikipedia-related services, listings and similar services are subject to applicable platform policies, eligibility requirements, algorithms, review processes and third-party decisions. Wikipedia and similar community-edited pages are not guaranteed and may be edited, redirected or deleted by their administrators or editors, including where applicable notability or other requirements are not met. The company shall not be responsible for such decisions or actions. Unless expressly agreed in writing, no specific business outcome, including sales, leads, revenue, traffic, followers or enquiries, is guaranteed.
9. Social Media & Account Access
Where account management is provided, services shall be performed according to the agreed scope and access provided by the client. Account restrictions, suspension, algorithm changes, content removal, reach fluctuations, technical issues or other platform actions shall remain outside the company’s control. The client remains responsible for account ownership, credentials and authorised access.
10. Timelines & Third-Party Delays
All delivery timelines are indicative and may vary due to client approvals, publishers, media houses, platforms, search engines, editors, administrators, organisers or other third parties. The company shall not be responsible for delays or non-performance to the extent arising from such circumstances.
11. Events & Third-Party Opportunities
For events, speaking opportunities, nominations, awards and similar third-party opportunities, selection, approval, scheduling and participation remain subject to the respective organiser or authority.
12. Third-Party Costs
Any third-party fees, publication charges, event or registration fees, production costs or other external expenses not expressly included in the invoice shall be payable separately by the client upon prior approval.
13. Intellectual Property
Company-owned materials, strategies, formats and resources shall remain the company’s property. Rights to final client-specific deliverables shall be granted upon receipt of full payment, unless otherwise agreed in writing.
14. Confidentiality
Both parties shall maintain the confidentiality of business, commercial and operational information shared during the engagement.
15. Liability & Indemnity
To the extent permitted by applicable law, the company shall not be liable for indirect, incidental or consequential losses, including loss of business, revenue or reputation. Total liability, if any, shall be limited to the amount paid for the respective service. The client agrees to indemnify the company against claims or liabilities arising from client-provided content, information, materials or breach of these terms.
16. Force Majeure & Platform Changes
The company shall not be responsible for delays or non-performance to the extent arising from circumstances beyond its reasonable control, including platform or policy changes, technical failures, outages, publisher decisions, regulatory requirements or other third-party actions.
17. Governing Law & Jurisdiction
These terms shall be governed by the laws of India, and any disputes shall be subject to the jurisdiction of Pune, Maharashtra.
